Welcome to DexWellness (“DexWellness,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, web application, digital tools, consultations, wellness services, and any related services provided by DexWellness (collectively, the “Services”).
By accessing, browsing, registering for, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Services.
1. Acceptance of Terms
By using our Services, you confirm that:
you have read, understood, and agreed to these Terms;
you are at least 18 years old, or you have the consent of a parent or legal guardian if required by applicable law; and
the information you provide to us is accurate and complete.
2. Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on this page with the updated revision date. Your continued use of the Services after such changes are posted constitutes your acceptance of the revised Terms.
3. Our Services
DexWellness provides services that may include, without limitation:
wellness education;
coaching;
counselling or consultation scheduling;
mental health and wellbeing support tools;
digital assessments, screening, or triage tools;
practitioner marketplace or booking services; and
related digital content, reports, and communications.
DexWellness may add, remove, modify, suspend, or discontinue any part of the Services at any time.
4. No Emergency or Medical Service
DexWellness is not an emergency service.
Our Services, including any chatbot, educational content, screening tools, wellness guidance, emotional support features, or practitioner-matching features, are provided for general wellbeing, educational, supportive, and informational purposes only, unless expressly stated otherwise.
They:
do not constitute medical advice, diagnosis, or treatment;
do not replace psychologists, psychiatrists, doctors, or other licensed health professionals;
do not guarantee clinical outcomes; and
must not be relied upon in a crisis or emergency.
If you are in danger, experiencing a medical emergency, having thoughts of self-harm, or require urgent support, contact emergency services or a qualified local crisis support provider immediately.
5. User Accounts
5.1 Account Registration
To access certain features, you may need to create an account. You agree to:
provide current, complete, and accurate information;
keep your login credentials confidential;
be responsible for all activity under your account; and
notify us immediately if you suspect unauthorized access or a security breach.
5.2 Account Suspension or Termination
We may suspend, restrict, or terminate your account or access to the Services if:
you breach these Terms;
you misuse the Services;
your conduct is unlawful, abusive, threatening, misleading, or harmful to others;
we are required to do so by law; or
we reasonably believe continued access may create legal, operational, or safety risks.
6. Acceptable Use
You agree to use the Services only for lawful and proper purposes. You must not:
impersonate another person or entity;
submit false, misleading, or fraudulent information;
interfere with the operation, security, or integrity of the Services;
attempt to gain unauthorized access to systems, accounts, or data;
use the Services to harass, abuse, exploit, threaten, or harm others;
upload viruses, malware, or harmful code;
use automated systems, bots, scraping tools, or scripts without our written consent;
reverse-engineer, copy, reproduce, distribute, or exploit the Services except as permitted by law; or
use the Services to create, request, or distribute unlawful, offensive, or dangerous content.
7. Bookings and Practitioner Services
Where DexWellness enables users to book sessions with psychologists, coaches, counsellors, or other practitioners:
booking availability is subject to practitioner schedules;
practitioners may be independent professionals or third-party providers;
DexWellness may act as a platform, facilitator, coordinator, or service provider depending on the service offered;
users are responsible for providing accurate booking details and attending sessions on time; and
professional services may be subject to additional practitioner-specific terms, codes of ethics, consent forms, or professional obligations.
8. Fees, Subscriptions, and Payments
8.1 Paid Services
Certain Services are offered on a paid basis, including subscriptions, consultations, assessments, classes, programs, or other packages. By purchasing a paid Service, you agree to pay all applicable fees, charges, and taxes disclosed at the time of purchase.
8.2 Recurring Billing
If you subscribe to a recurring plan, you authorize DexWellness and/or its payment processor to automatically charge your selected payment method on a recurring basis until cancellation.
8.3 Pricing Changes
We may change our pricing from time to time. Any price change for future purchases or renewals will be communicated as required by applicable law.
8.4 Failed Payments
If a payment is declined, reversed, or unpaid, we may suspend access to the relevant Service until payment is successfully completed.
9. Cancellations, Rescheduling, Refunds, and No-Show Policy
Your purchase and use of our Services are subject to our Refund Policy, which forms part of these Terms.
For consultations, coaching, counselling, or practitioner sessions, cancellation, rescheduling, no-show, lateness, and technical issue rules may apply in accordance with the Refund Policy published on our website.
10. Intellectual Property
All rights, title, and interest in and to the Services, including all software, text, prompts, outputs, branding, trademarks, service marks, logos, graphics, designs, workflows, content, and materials, are owned by DexWellness or its licensors and are protected by applicable intellectual property laws.
You may not copy, modify, reproduce, republish, upload, post, transmit, sell, license, or distribute any part of the Services without our prior written consent, except as permitted by law.
11. User Content
You may submit information, prompts, feedback, messages, intake details, reviews, or other content through the Services (“User Content”). You remain responsible for your User Content.
By submitting User Content, you grant DexWellness a non-exclusive, worldwide, royalty-free, revocable license to use, host, store, reproduce, process, adapt, and display that User Content solely for purposes of:
operating the Services;
providing support;
improving user experience;
analytics, quality assurance, and safety; and
complying with legal and regulatory obligations.
You represent that:
you have the right to provide the User Content;
your User Content does not violate the rights of others; and
your User Content is not unlawful, defamatory, abusive, or misleading.
12. Privacy and Data Handling
Your use of the Services is also governed by our Privacy Policy. By using our Services, you acknowledge that we may collect, use, store, and process personal data in accordance with our Privacy Policy and applicable laws.
Where health or sensitive information is involved, you acknowledge that additional consent, notices, and safeguards may apply.
13. Third-Party Services
The Services may integrate with or link to third-party platforms, payment gateways, calendars, communication tools, telehealth tools, analytics providers, or practitioner systems. We are not responsible for the availability, content, security, or practices of those third-party services.
Your use of third-party services may be subject to their own terms and privacy policies.
14. Disclaimers
To the maximum extent permitted by law:
the Services are provided on an “as is” and “as available” basis;
we do not warrant that the Services will be uninterrupted, secure, accurate, complete, or error-free;
we do not guarantee that any recommendation, screening result, report, or digital output will be suitable for your particular circumstances; and
results from wellness tools, screening tools, AI tools, or practitioner interactions may vary from person to person.
15. Limitation of Liability
To the fullest extent permitted by applicable law, DexWellness and its directors, officers, employees, contractors, affiliates, licensors, and partners will not be liable for any indirect, incidental, special, punitive, exemplary, or consequential loss or damage, including loss of data, profits, revenue, goodwill, opportunity, or business interruption arising out of or related to:
your use of or inability to use the Services;
any delay, interruption, or unavailability of the Services;
any reliance on content, outputs, or recommendations generated through the Services; or
the acts or omissions of third-party providers or practitioners.
Nothing in these Terms excludes rights or remedies that cannot be excluded under applicable consumer law.
16. Indemnity
You agree to indemnify and hold harmless DexWellness, its affiliates, directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising out of or related to:
your breach of these Terms;
your misuse of the Services;
your violation of any law or third-party rights; or
your User Content.
17. Service Availability and Termination
We may suspend, withdraw, restrict, or terminate all or part of the Services at any time, with or without notice, where reasonably necessary for maintenance, security, operational reasons, legal compliance, or risk management.
Upon termination:
your right to use the Services ceases immediately; and
any provisions that by nature should survive termination will continue to apply.
